Job Description: Company Secretary - Legal Practitioner or Lawyer
Overview:
The Company Secretary serves as the chief administrative officer of the company, ensuring the organization's compliance with statutory and regulatory requirements. This role also involves providing legal advice, overseeing governance practices, and managing board meetings and shareholder communication. The ideal candidate will have a background in law and be well-versed in corporate governance.

Key Responsibilities:
Governance and Compliance:

Ensure the company complies with all relevant laws, regulations, and guidelines.
Maintain and update the company’s statutory registers and records.
Prepare and file statutory returns, annual reports, and other necessary documents with regulatory bodies.
Board and Shareholder Meetings:

Organize, prepare agendas, and take minutes for board meetings, annual general meetings (AGMs), and extraordinary general meetings (EGMs).
Advise the board on their legal and governance responsibilities.
Communicate with shareholders and manage queries.
Legal Advisory:

Provide legal advice on corporate, commercial, and regulatory matters.
Draft, review, and negotiate contracts, agreements, and other legal documents.
Manage and mitigate legal risks by designing and implementing company policies and procedures.
Corporate Governance:

Develop and oversee the implementation of corporate governance practices.
Ensure the integrity of the governance framework, including compliance with legal and regulatory requirements.
Promote best practices in corporate governance.
Liaison and Communication:

Act as the primary point of contact between the board, shareholders, and external regulators.
Facilitate communication and ensure transparency within the company.
Training and Development:

Keep the board and senior management informed of developments in governance and legal practices.
Provide ongoing training and development for board members and senior staff on governance and legal issues.
Job Specifications:
Qualifications:
A qualified lawyer with a degree in Law (LLB) and a practicing certificate.
Membership of the Institute of Company Secretaries or relevant professional body is an advantage.
Additional qualifications in corporate governance or business administration are desirable.
Experience:
Minimum of 5 years of experience in a similar role within a corporate environment.
Extensive experience in corporate governance, legal compliance, and company secretarial duties.
Proven track record of advising senior management and board members on legal and governance matters.
Skills:
Strong understanding of corporate law, regulatory compliance, and governance frameworks.
Excellent organizational and time-management skills.
Strong written and verbal communication skills.
High attention to detail and the ability to handle sensitive and confidential information.
Proficient in the use of legal and governance software and tools.
