Job Description

Job Overview:
We are seeking an experienced and highly motivated professional to serve as the Corporate Governance and Company Secretary. This strategic role is responsible for ensuring compliance with corporate governance standards, legal requirements, and regulatory frameworks in Nigeria. The successful candidate will provide expert guidance to the Board of Directors and executive management, facilitate effective board operations and manage corporate records. Additionally, the role will support strategic corporate communications and stakeholder engagement initiatives that promote and protect the company’s reputation.

Key Responsibilities:
- Develop, implement, and maintain corporate governance frameworks, policies, and best practices.
- Ensure compliance with applicable governance codes and regulatory requirements within Nigeria.
- Advise the Board and management on governance trends, policies, and developments.
- Prepare and distribute board and committee meeting agendas, minutes, and related documentation.
- Maintain a register of minutes and provide certified extracts as required.
- Support the Board in enforcing governance policies and ensuring effective board practices.
- Monitor legislative and regulatory changes affecting the company and advise management accordingly.
- Ensure timely preparation and submission of statutory filings and compliance documents to relevant authorities.
- Maintain accurate and up-to-date records, including registers of members, directors, and shareholders.
- Oversee the documentation and preservation of all corporate actions and decisions.
- Liaise with shareholders, regulatory bodies, financial institutions, NGOs, media, and other key stakeholders.
- Facilitate effective communication and relationship management between the Board and external parties.
- Support the development and execution of corporate strategies and communication plans.
- Create and manage content for industry forums, executive speeches, and internal communication platforms.
- Promote the company’s brand values through consistent and strategic messaging.
- Assist in the formulation and implementation of crisis communication strategies.
- Manage corporate communications during crises and respond to public and regulatory inquiries.
- Monitor social media and public channels for issues that may affect the company’s reputation.
- Organize and facilitate governance-related training for board members and employees.
- Drive internal awareness of corporate policies, crisis management protocols, and compliance requirements.
- Assist in drafting, reviewing, and vetting legal contracts and related documents to mitigate legal risks.
- Prepare high-level presentations for stakeholders on company performance and expansion initiatives.
- Support organic growth efforts by contributing to strategic planning documentation.

Qualifications and Experience:
- Bachelor’s degree in Law; a Master’s degree or professional certifications (e.g., ICSAN, ICGN) will be an advantage.
- Minimum of 5 years’ experience in corporate governance, secretarial services, or regulatory compliance, preferably with a reputable professional services firm
- Strong knowledge of Nigerian corporate law and governance standards.
- Exceptional written and verbal communication skills.
- High-level analytical and problem-solving capabilities.
- Ability to work both independently and collaboratively in cross-functional teams.
- Creative and strategic mindset with strong attention to detail.
